These Terms of Service ("Terms") govern your access to and use of Folyo ("we", "us", "our"), a cloud-based invoicing and business management platform operated by Folyo (Quebec, Canada). By creating an account or using the service in any way, you agree to be bound by these Terms. If you do not agree, do not use the service.
These Terms apply to all users, including freelancers, contractors, and small business owners who use Folyo to manage invoices, quotes, contracts, and client relationships.
Folyo is intended for business, professional, and commercial use by freelancers, contractors, and business owners. It is not intended for personal, family, or household consumer use.

You must be at least 18 years old and legally capable of entering into a binding contract to use Folyo. By registering, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete. One account per person — account sharing is not permitted.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@folyo.ca if you suspect unauthorized access.
We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.
You may not transfer or assign your Folyo account to another person or entity without our prior written consent.
You are responsible for using a strong password, keeping your devices secure, and ensuring that access to your Folyo account is limited to authorized users. You are also responsible for ensuring that any information you enter into Folyo — including client data, tax registrations, and business details — is accurate and authorized.
You retain full ownership of all data you enter into Folyo — including invoice content, client information, contracts, and business data ("Your Content"). We claim no intellectual property rights over Your Content.
By using Folyo, you grant us a limited, non-exclusive, royalty-free license to store, process, and transmit Your Content solely as necessary to provide the service. We will not access Your Content except to provide or improve the service, respond to support requests, or comply with legal obligations.
You agree not to use Folyo to:
You are responsible for ensuring your use of Folyo complies with Canada's Anti-Spam Legislation (CASL). By using Folyo to send invoices, quotes, contracts, or other documents to your clients, you represent that you have obtained any consent required by CASL to send commercial electronic messages to those recipients. Folyo is not responsible for your compliance with CASL.
We may suspend or terminate your account immediately if we believe, in our sole discretion, that you have violated this section.
Plans. Folyo offers a free tier and paid monthly subscription plans (Solo and Pro). Paid plans are billed monthly in Canadian dollars (CAD) at the rates listed on our pricing page.
Billing. Your subscription renews automatically each month on your billing date. By subscribing, you authorize us to charge your payment method on a recurring basis.
Failed payments. If your payment method is declined, we will attempt to retry the charge. If payment cannot be collected after three (3) attempts, we may downgrade your account to the free plan or suspend access to paid features until payment is received.
Cancellation. You may cancel your subscription at any time through the Billing section of your account settings. Your plan remains active until the end of the current billing period. We do not prorate or refund unused days after cancellation.
Refunds. We generally do not offer refunds for monthly subscription fees. If you believe a charge was made in error, contact us within 30 days at hello@folyo.ca and we will review your case.
Price changes. We may change subscription prices with at least 30 days' notice by email. Continued use after the price change takes effect constitutes acceptance of the new price.
Downgrade. If you downgrade to a lower-tier plan, you retain access to higher-tier features until the end of your current billing period.
Free plan. The features and limits of the free plan are subject to change. We will notify you by email before reducing the functionality available on the free plan.
Card payments collected from your clients are processed by Stripe, Inc. ("Stripe"). To accept card payments, you must complete Stripe's identity verification and connect a Stripe Express account through Folyo's settings. Your use of Stripe's payment services is subject to Stripe's Terms of Service and Stripe Connected Account Agreement.
Folyo does not store credit card numbers. Standard Stripe processing fees apply to card transactions and are separate from Folyo's subscription fees.
Folyo has no control over Stripe's decisions regarding your connected account, including fund holds, payment disputes, chargebacks, or account terminations. If Stripe limits or terminates your account, Folyo cannot intervene on your behalf. Contact Stripe directly for resolution of any such issues.
Folyo's contract signing feature records the signer's name, IP address, and timestamp as evidence of agreement. This record is provided as a convenience to support the enforceability of your contracts. Folyo does not guarantee that e-signatures collected through the platform are legally binding in all jurisdictions or for all contract types. You are solely responsible for ensuring that electronic signatures are valid and enforceable for your specific use case and jurisdiction. Consult a qualified legal professional if you are unsure.
Folyo and its original content, features, and functionality — including but not limited to the software, interface design, logos, and documentation — are owned by Folyo and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Nothing in these Terms transfers any intellectual property rights to you other than the limited license to use the service described herein.
Feedback. If you submit ideas, suggestions, or feedback about Folyo, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use, reproduce, and incorporate that feedback without any obligation or compensation to you.

We are not responsible for the availability, accuracy, or conduct of these third-party services. Outages or failures of these providers may cause temporary unavailability of some or all features.
Folyo is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free from harmful components.
Folyo is a tool to help you manage your invoicing and business administration. It does not constitute legal, tax, or financial advice. Consult a qualified professional for advice specific to your situation.
While Folyo calculates Canadian tax amounts based on the tax type you select, you are solely responsible for selecting the correct tax type for your business, verifying current rates with the Canada Revenue Agency or the applicable provincial authority, and ensuring your invoices comply with all applicable tax laws. Tax rates can change and Folyo's built-in rates may not always be current. Folyo is not a tax preparation service.
You are responsible for ensuring that invoices generated through Folyo contain all legally required information for your jurisdiction, including applicable business numbers, GST/HST, QST, and PST registration numbers, sequential invoice numbering, and required tax disclosures. Folyo provides tools to help you generate invoices, but the legal accuracy and completeness of each invoice is your sole responsibility.
Any support, documentation, templates, examples, or help content provided by Folyo is for general informational purposes only and does not constitute legal, tax, accounting, or financial advice. Consult a qualified professional for advice specific to your situation.
Relationship between users and clients. Folyo provides software tools that allow users to create, send, and manage invoices, quotes, contracts, and payment links. Folyo is not a party to any agreement, transaction, invoice, contract, payment dispute, or business relationship between you and your clients. You are solely responsible for the goods or services you provide, the accuracy of your invoices and contracts, collecting amounts owed, resolving disputes with clients, and complying with all laws applicable to your business.
Currencies and exchange rates. Folyo may allow invoices to be created or displayed in multiple currencies. Exchange rates, conversion fees, card network fees, bank fees, and Stripe fees may apply and may change over time. Folyo is not responsible for losses, differences, or fees caused by currency conversion, exchange rate fluctuations, payment timing, or third-party financial institutions.
To the maximum extent permitted by applicable law, Folyo and its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising from your use of or inability to use the service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising out of or relating to these Terms or the service shall not exceed the amount you paid to Folyo in the three months preceding the event giving rise to the claim, or CAD $50, whichever is greater.
You agree to indemnify, defend, and hold harmless Folyo and its affiliates, directors, employees, and contractors from any claims, liabilities, damages, judgments, and expenses (including reasonable legal fees) arising from your use of the service, Your Content, or your violation of these Terms.
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance with or without advance notice. We are not liable for any losses resulting from downtime or service interruptions.
We reserve the right to modify, suspend, or discontinue any feature or the entire service at any time, with reasonable notice where practicable.
Folyo may release beta, experimental, or early-access features from time to time. These features may be modified, limited, or discontinued at any time without notice and may not be suitable for critical business use.
Folyo shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: internet or telecommunications outages, failures of third-party infrastructure providers (including Vercel, Neon, Stripe, or Cloudflare), cyberattacks, natural disasters, pandemics, power failures, or government actions. Our obligations are suspended for the duration of any such event.
Severability. If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable. The remaining provisions continue in full force.
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Folyo regarding the service and supersede all prior agreements, representations, or understandings.
No waiver. Our failure to enforce any provision of these Terms on any occasion does not constitute a waiver of the right to enforce it in the future.
You may export your invoices, clients, and business records from your account settings at any time while your account is active. You are responsible for maintaining copies of records required for tax, accounting, or legal purposes — we recommend doing this before closing your account.
Deleting your account does not recall, retract, or delete emails, invoices, contracts, or documents already delivered to your clients or stored by third-party recipients.
We strongly recommend that you export your data before deleting your account. Once your account is deleted and the 30-day grace period has passed, we cannot guarantee recovery of your invoices, client information, or other business records.
You may close your account at any time from the Settings page. Upon account deletion, your personal data will be purged within 30 days, subject to any legal retention requirements.
Inactive accounts. We may suspend or delete free accounts that have been inactive for 24 months or more. Before deleting an inactive account, we will make reasonable efforts to notify you by email at least 30 days in advance. If you do not log in or respond before the deadline, we may permanently delete the account and associated data, subject to any legal retention requirements. Paid accounts will not be deleted for inactivity while a subscription remains active and paid.
We may suspend or terminate your account with or without notice for violations of these Terms, non-payment, or if we cease to operate the service. If we terminate your account without cause, we will refund any prepaid fees for the unused portion of your subscription period.
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved informally by contacting us at hello@folyo.ca. If the dispute cannot be resolved within 30 days, it shall be submitted to the courts of competent jurisdiction in the Province of Quebec.
We may update these Terms from time to time. For material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of Folyo after the effective date constitutes acceptance of the revised Terms. The current version is always available at folyo.ca/terms.
